Scope of engagement

These terms govern the relationship between MagentLabs and its clients across two engagement types: the Tier 0 Launch Sprint and the Tier 1 Efficiency as a Service subscription.

Tier 0 — Launch Sprint

The Launch Sprint is a fixed-scope, fixed-fee engagement. The fee is USD 3,000 one-time.

What is included: Brief session, architecture review, UX design, production-ready codebase, CI/CD pipeline, Vercel deployment, WCAG 2.1 AA compliance baseline, and a 30-day handoff support window. The exact scope is agreed in writing before execution begins.

Payment: The full Launch Sprint fee is due before execution begins. The fee is non-refundable once execution has started. If MagentLabs and the client cannot agree on scope before payment, no charge is made.

Timeline: The target delivery window is 7–10 business days from the agreed brief. MagentLabs will communicate promptly if a blocker outside its control affects this window.

Tier 1 — Efficiency as a Service

Tier 1 is a month-to-month subscription at USD 1,000/month.

What is included: Up to four sprint-weeks of agentic execution per month, a monthly strategy and prioritisation call, continuous dependency and compliance maintenance, and priority capacity over new clients.

Cancellation: Either party may cancel Tier 1 with 30 days written notice. No penalty applies. All deliverables produced before the cancellation date remain the client's property.

Billing: Tier 1 is billed monthly in advance. Unused sprint capacity does not carry over between billing months.

Code ownership

All code, design assets, and infrastructure configuration produced under either tier are delivered to the client's own repository. On delivery, full ownership transfers to the client. MagentLabs retains no licence to use the client's specific product code after the engagement ends.

MagentLabs retains the right to reference the engagement in its portfolio unless the client requests otherwise in writing before execution begins.

Liability

MagentLabs' total liability for any claim arising from an engagement is limited to the fees paid by the client for that specific engagement. MagentLabs is not liable for indirect, consequential, or punitive damages.

MagentLabs is not responsible for the security or compliance of third-party infrastructure chosen by the client outside the agreed delivery scope.

Governing law

These terms are governed by the laws of Brazil. Disputes shall be resolved in the courts of São Paulo, SP, Brazil, except where mandatory consumer-protection law requires otherwise.

Changes to these terms

MagentLabs may update these terms. Existing active engagements continue under the terms in effect at the time of the agreement unless both parties agree to updated terms in writing.
